{"id":10,"date":"2015-02-12T17:43:00","date_gmt":"2015-02-12T17:43:00","guid":{"rendered":"https:\/\/www.sherin.com\/professional-liability\/2015\/02\/12\/nh-begins-to-articulate-the-scope-of-in-house-privilege\/"},"modified":"2019-06-03T15:38:52","modified_gmt":"2019-06-03T15:38:52","slug":"nh-begins-to-articulate-the-scope-of-in-house-privilege","status":"publish","type":"post","link":"https:\/\/www.sherin.com\/law-firm-defense\/2015\/02\/12\/nh-begins-to-articulate-the-scope-of-in-house-privilege\/","title":{"rendered":"NH Begins To Articulate The Scope Of \u201cIn-House Privilege\u201d"},"content":{"rendered":"<p><em><strong><strong><img loading=\"lazy\" decoding=\"async\" id=\"img-1423762380982\" class=\"alignRight\" style=\"float: right;\" src=\"\/wp-content\/uploads\/sh_images\/images\/10305987_s1.jpg\" alt=\"10305987 s\" width=\"255\" height=\"170\" border=\"0\" \/><\/strong><\/strong><\/em><\/p>\n<p>In 2013, the Massachusetts Supreme Judicial Court gave Massachusetts law firms <span style=\"color: #0000ff;\"><a href=\"\/wp-content\/uploads\/sh_files\/Documents\/MLW%20Measures%20to%20take%20following%20RFF%20Family%20Partnership.pdf\"><span style=\"color: #0000ff;\">a clear set of rules<\/span><\/a><\/span> for conducting privileged communications with their in-house counsel. As the SJC ruled in <span style=\"text-decoration: underline;\">RFF Family Partnership, LP v. Burns &amp; Levinson, LLP<\/span>, 465 Mass. 702 (2013), the privilege attaches where:<\/p>\n<p>&nbsp;<\/p>\n<ol>\n<li>The law firm has designated in-house counsel within the firm;<\/li>\n<li>The designated attorney did not work on the client matter at issue or a substantially related matter;<\/li>\n<li>The time spent communicating with in-house counsel is not billed to the client; and<\/li>\n<li>The communications are made in confidence and kept confidential.<\/li>\n<\/ol>\n<p><!--more--><\/p>\n<p>Firms in New Hampshire are still waiting for their high court to recognize an \u201cin-house privilege,\u201d but a New Hampshire trial court recently took a crack at it.\u00a0 And while the court in <span style=\"text-decoration: underline;\">Moore v. Grau<\/span>, No. 2013-CV-150 (N.H. Super. Ct., Merrimack County, Dec. 15, 2014), adopted much of the reasoning from <span style=\"text-decoration: underline;\">RFF<\/span>, it opted away from a strict four-factor test in favor of the \u201cflexible approach\u201d articulated by the Georgia Supreme Court in <span style=\"text-decoration: underline;\">St. Simons Waterfront, LLC v. Hunter, MacLean, Exley and Dunn, PC<\/span>, 746 S.E.2d 98, 103-04 (Ga. 2013).<\/p>\n<p>The <span style=\"text-decoration: underline;\">Moore<\/span> court viewed the <span style=\"text-decoration: underline;\">RFF<\/span> factors as tailored to \u201cvery large, multi-office firms with full-time general and\/or ethics counsel.\u201d\u00a0 This does not square with the legal landscape of New Hampshire, where approximately 60% of firms have less than five attorneys.\u00a0 While the bright-line <span style=\"text-decoration: underline;\">RFF<\/span> test would be easier to apply, the court felt its rigidity could \u201cresult in the in-house attorney-client privilege being unavailable to New Hampshire lawyers.\u201d<\/p>\n<p>Under <span style=\"text-decoration: underline;\">St. Simons<\/span>, however, communications are privileged so long as:<\/p>\n<ol>\n<li>There is a genuine attorney-client relationship between the firm&#8217;s lawyers and in-house counsel;<\/li>\n<li>The communications in question were intended to advance the firm&#8217;s interests in limiting exposure to liability rather than the client&#8217;s interests in obtaining sound legal representation;<\/li>\n<li>The communications were conducted and maintained in confidence; and<\/li>\n<li>No exception to the privilege applies.<\/li>\n<\/ol>\n<p>Adopting that test, the <span style=\"text-decoration: underline;\">Moore<\/span> court found that the defendant law firm had made a prima facie showing that communications between the responsible attorney (Grau) and in-house counsel (Hilliard) were privileged.\u00a0 Although Hilliard was never formally appointed as ethics counsel, he had functioned as the firm&#8217;s \u201cde facto ethics counsel\u201d for 10 years.\u00a0 And contrary to the <span style=\"text-decoration: underline;\">RFF<\/span> test, it was not determinative that Hilliard had billed a small amount of time to the plaintiff early in the representation or that Grau had billed the plaintiff for conversations with Hilliard about the underlying case. \u00a0The court noted that in New Hampshire, \u201cit is common for lawyers in small and medium-sized firms to consult with other lawyers about the facts of a case on a formal or informal basis\u201d and therefore was \u201cnot surprising\u201d that Grau had consulted with Hilliard.<\/p>\n<p>Because Hilliard was not exclusively an in-house counsel and maintained his own active practice, the court cautioned that the privilege would only attach so long as Hilliard&#8217;s advice remained within the purposes articulated in\u00a0<span style=\"text-decoration: underline;\">RFF<\/span>\u00a0and\u00a0<span style=\"text-decoration: underline;\">St. Simons<\/span>: \u00a0\u201cto advance the firm\u2019s interests in limiting exposure rather than the client&#8217;s interests in obtaining sound legal representation.\u201d\u00a0 The court proposed to review each of the 17 emails at issue <em>in camera<\/em> to determine whether this was indeed the case.<\/p>\n<p>While the <span style=\"text-decoration: underline;\">St. Simons<\/span> flexible approach theoretically gives firms more wiggle room, the bright-line approach articulated in <span style=\"text-decoration: underline;\">RFF<\/span> provides the certainty and clear guidance that lawyers generally prefer.\u00a0 Until New Hampshire firms receive a definitive statement on the scope of \u201cin-house privilege,\u201d they should tread carefully in seeking advice from in-house counsel and keep the reasoning behind <span style=\"text-decoration: underline;\">RFF<\/span> and <span style=\"text-decoration: underline;\">St. Simons<\/span> in mind.\u00a0 Draw a clear line between communications concerning the client\u2019s interests and those concerning the interests of the firm, especially when those communications are in writing.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>In 2013, the Massachusetts Supreme Judicial Court gave Massachusetts law firms a clear set of rules for conducting privileged communications with their in-house counsel.
