VonIderstein, et al. <\/span><\/em>is a salutary reminder to lenders making mortgage loans in Massachusetts and their counsel that the Massachusetts Obsolete Mortgages Statute (Mass. Gen. Laws chapter 260, section 33) will cause an otherwise perfectly valid Massachusetts mortgage to be discharged without the lender\u2019s knowledge \u00a0after the passage of 5 years from the maturity date stated in the mortgage or, if no maturity date is stated, after the passage of 35 years from the recording of the mortgage. The mortgagee can avoid such discharge by recording, before the expiration of such period, an extension of the mortgage or an acknowledgment or affidavit that the mortgage is not satisfied. Better yet is to not include the maturity date in the mortgage in the first place.<\/p>\n<p><!--more--><\/p>\n<p>This trap for the unwary was effected by the state legislature in its 2006 amendment of the statute.\u00a0 Prior to 2006, the statute simply provided that mortgages were automatically discharged 50 years after recording, absent the prior recording of an extension or affidavit that the mortgage had not been satisfied.\u00a0 The 2006 amendment shortened the 50 year period to 35 years, but more importantly added the entirely new provision that, if a maturity date is recited in the mortgage, then it will be discharged 5 years after such maturity date, absent the timely recording of an extension or affidavit.\u00a0 The 2006 amendment was also made explicitly retroactive to all existing mortgages.<\/p>\n<p>The <em><span style=\"text-decoration: underline;\">Ry-Co<\/span><\/em> decision focused on one particular aspect of the statute \u2013 namely, whether the inclusion of a so-called \u201cdragnet clause\u201d in a mortgage that also includes a specific maturity date exempts the mortgage from the 5 year automatic discharge.\u00a0 The <span style=\"text-decoration: underline;\">Ry-Co<\/span> mortgage stated on page one that it secured a $100,000 promissory note that was payable in July 1987.\u00a0 The dragnet clause, which was buried on page seven of the mortgage, stated that the mortgage also secured payment of \u201call other obligations\u201d of the borrower to the lender that either existed at the time or that might \u201chereafter arise.\u201d\u00a0 The judge in <span style=\"text-decoration: underline;\">Ry-Co<\/span> pointed out that Massachusetts courts have construed dragnet clauses narrowly and that \u201ca future obligation purported to be secured by a dragnet clause will not be secured unless it is of the same kind and quality as the original obligation; sufficiently related to the original indebtedness such that consent of the debtor can be inferred; the new obligation incurred refers to the mortgage; or security of the new obligation by the mortgage was contemplated by the parties.\u201d The judge concluded that there was no evidence that a new obligation had arisen or would arise between the mortgagor and mortgagee sufficiently related to the original indebtedness to have the mortgage secure the new obligation.\u00a0 Accordingly, the stated maturity date of the secured promissory note controlled, and the mortgage was declared to have been discharged 5 years after that maturity date.\u00a0 The judge also made clear that, based on the clear language of the statute, it makes no difference whether the underlying secured obligation has been paid or not.<\/p>\n<p>The lesson of <em><span style=\"text-decoration: underline;\">Ry-Co<\/span><\/em> is two-fold: first, that lenders making mortgage loans in Massachusetts should not include the maturity date of the secured obligation in the mortgage (except if the term of the secured loan exceeds 30 years), and, second, that when a matured loan has not been paid in full, the lender should check whether the maturity date was included in the mortgage, and if so, be sure to record an extension or affidavit that the debt remains outstanding prior to the 5 year anniversary of the maturity date.<\/p>\n<p>&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>The recent Massachusetts Land Court decision in Ry-Co International, Ltd. v.
